1. Introduction
These Terms of Service and Privacy Policy (the “Terms”) govern access to and use of QRMessenger, a software module and API/SDK (“Service”) that provides QR-code-based check-in, queue management, and real-time notification functionality for integration into third-party applications (“Partner Apps”). QRMessenger is provided by QRMessenger (“QRMessenger,” “we,” “us,” or “our”). By integrating, accessing, or using the Service, the business or developer integrating the Service (“Partner,” “you”) agrees to these Terms on its own behalf and, where applicable, on behalf of the end users of its Partner App (“End Users”).

2. Description of Service
QRMessenger is a white-label, drop-in module that Partners integrate into their own applications via SDK or API. The Service:
• Generates a unique, encrypted QR code for each End User for check-in purposes.
• Manages queue logic and status updates on behalf of the Partner App.
• Delivers real-time notifications (e.g., “your turn”) to End Users via text message or email when triggered by queue updates.
• Operates behind the Partner’s own branding; End Users interact with the Partner App, not with QRMessenger directly.

QRMessenger acts as a backend service provider. The Partner remains responsible for its own relationship with End Users, including its own end-user-facing terms and privacy disclosures.

3. Eligibility and Accounts
To use the Service, a Partner must register for a developer/business account and provide accurate, current information. Partners are responsible for safeguarding API keys, credentials, and any account access, and for all activity that occurs under their account. QRMessenger should be notified promptly of any unauthorized use or security breach.

4. Data We Process

4.1 Data collected from Partners
Account and billing information, integration configuration (queue rules, notification preferences, branding
settings), and technical logs necessary to operate and support the Service.

4.2 Data collected on behalf of Partners (End User data)
To operate check-in and notifications, the Service processes limited End User data supplied by the Partner
App, which may include:
• A unique identifier and encrypted QR code generated for each End User.
• Contact information used solely to deliver queue notifications (e.g., phone number or email address).
• Queue status and check-in timestamps.
QRMessenger does not collect End User names, payment information, or other personal details beyond what is strictly necessary to operate check-in and notifications, and does not require a separate End User account system.

4.3 What we don’t do
QRMessenger does not sell End User data, does not use it for advertising or ad targeting, does not share it with data brokers or ad networks, and does not use trackers for advertising purposes. Data collected in connection with the Service remains part of the Partner’s relationship with its End Users; QRMessenger acts strictly as a processor of that data on the Partner’s behalf.

4.4 How data is used
Data is used only to: operate check-in and queueing functionality, deliver real-time notifications, maintain and secure the Service, provide support to Partners, and comply with legal obligations.

4.5 Data retention
End User data is retained only as long as necessary to provide the Service (e.g., for the duration of an active queue session) and is deleted or anonymized thereafter, unless the Partner configures a different retention period or applicable law requires longer retention. Partner account data is retained for the duration of the Partner relationship and as required for legal, accounting, or dispute-resolution purposes.

5. Security
All QR codes generated by the Service are encrypted and unique to the individual End User. QRMessenger maintains administrative, technical, and physical safeguards designed to protect data processed through the Service. No method of transmission or storage is completely secure, and QRMessenger cannot guarantee absolute security.

6. Partner Responsibilities
Partners agree to:
• Obtain any consents required from End Users under applicable law before their data is processed
through the Service.
• Provide End Users with their own accurate privacy notice describing use of the Service.
• Use the Service only for lawful queue management and check-in purposes.
• Not attempt to reverse-engineer, decompile, or circumvent the security of the SDK/API.
• Not use the Service to transmit unlawful, abusive, or fraudulent content or notifications.

7. Prohibited Conduct
Users of the Service (Partners and, through Partner Apps, End Users) may not: interfere with or disrupt the Service’s infrastructure; attempt unauthorized access to QRMessenger systems or another Partner’s data; use the Service to harvest data for purposes outside normal check-in and queueing; or misrepresent their identity when generating or scanning QR codes.

8. Intellectual Property
QRMessenger and its underlying technology, including patented check-in processes licensed from HSI Software Solutions, are the property of QRMessenger and its licensors. Partners receive a limited, non-exclusive, non-transferable license to integrate and use the SDK/API solely to operate the Service within their Partner App. All QRMessenger trademarks, logos, and technology remain the exclusive property of QRMessenger.

9. Service Availability
QRMessenger will use commercially reasonable efforts to keep the Service available, but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party infrastructure issues, or events beyond QRMessenger’s reasonable control may affect availability.

10. Warranty Disclaimer
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. QRMessenger does not warrant that the Service will meet every requirement of a Partner’s specific use case.

11. Limitation of Liability
To the maximum extent permitted by law, QRMessenger will not be liable for any indirect, incidental, special,
consequential, or punitive damages, or any loss of profits, revenue, or data, arising from use of or inability
to use the Service. QRMessenger’s total liability for any claim relating to the Service will not exceed the fees paid by the Partner to QRMessenger in the twelve (12) months preceding the claim.

12. Indemnification
Partners agree to indemnify and hold QRMessenger harmless from claims, damages, and expenses arising
from the Partner’s use of the Service, the Partner’s Partner App, or the Partner’s failure to obtain required
End User consents or provide required disclosures.

13. Term and Termination
These Terms remain in effect while a Partner uses the Service. QRMessenger may suspend or terminate
access for breach of these Terms, non-payment, or misuse of the Service. Partners may terminate by discontinuing
use of the Service and ceasing integration. Upon termination, QRMessenger will delete or return Partner and End User data in accordance with its data retention practices, except where retention is required
by law.

14. Changes to These Terms
QRMessenger may update these Terms from time to time. Material changes will be communicated to Partners
with reasonable notice before taking effect. Continued use of the Service after changes take effect constitutes
acceptance of the revised Terms.

15. Governing Law
These Terms are governed by the laws of the jurisdiction in which QRMessenger is incorporated, without
regard to conflict-of-law principles, unless otherwise required by applicable law.
